So in short, you think you're too good for her? That's what I'm getting out of the OP.
If you enjoy spending time with her, but don't see any kind of actual physical attraction to her I'd just tell her you want to be friends. But really be sure about this decision, I can tell you from personal experiences once you drop the just friends line, they won't come back.
