3GB of RAM is PLENTY. My friend is currently running it smoothly with only 1.
And yes, on Vista you can simply "upgrade" instead of doing a custom install. All of your programs and files will remain in tact. However, I suggest doing a clean install as it is recommended. I don't know why it is, but it just seems more "healthy".
