I recommend doing a fresh install. Download itself takes about 30-40 mins on my connection, although some people are reporting it takes longer.
Reports say that upgrading takes about 8 hours (ETC). Therefore, I suggest backing up your files, downloading the ISO and doing a clean install :]
Best of luck! I am current downloading it right now; about 25% complete. I will do a clean install and play around with it. I will post about it in my blog (see sig) later today. Be on the look out for it ;]

My suggestion,
Please wait for 2-3 days to upgrade ubuntu because now, server has been fully-utilizied.
