I have a Win7 Ultimate 32bit produdct key, but I am currently running a 64bit Home Premium. If I upgrade using the 32bit Ultimate key will I be upgraded to a 64bit or 32bit Win7 Ultimate?

You can't go from 64-bit to 32-bit so you'll have to re-format to win7 ultimate then put the key in.
